DEFINITIONS AND IDENTITY
1.Entity Identity
All references to “We,” “Us,” “Our,” or the “Academy” refer to Manipal Academy of BFSI, a business unit and operating entity of Unext Learning Private Limited. For the purposes of these terms, the Academy may also be referred to as Unext Manipal Academy of BFSI, MABFSI, or MAB.
2.Users
References to “You,” “Your,” or the “Learner” refer to any individual (a natural person) who browses this site or who expresses interest in, applies for, or enrols in any training program or course offered by the Academy.
3.Programs
“Program/Programs” or “Course/Courses” refer to the training, skilling, and recruitment solutions offered by the Academy, including both Job-Assured Programs and Enterprise Solutions.
4.Partner Organization
“Partner Organization” or “Client” refers to the third-party BFSI institution or corporate entity with whom the Academy has a valid contractual agreement /Work Order) to provide training services to candidates or employees.
AGREEMENT TO TERMS AND MODIFICATIONS
By browsing the Website, expressing interest in a Program, or enrolling in any Program, You consent to (i) fully comply with these Terms and Conditions and (ii) You agree to be bound by the Website Privacy Policy.
We reserve the right to update or modify the Terms and Conditions at any time. Your continued use of Our Website /Programs, after any changes to these Terms and Conditions, will be deemed as Your acceptance of the revised Terms and Conditions.
GENERAL ELIGIBILITY AND ACCESS
1.Eligibility Requirements
Your eligibility for any Program is strictly determined by the specific criteria mandated by the Partner Organization/Client, which are updated on the specific Program pages.
2.Program Enrolment
Your enrolment is strictly subject to: (i) meeting the specific eligibility criteria listed for the Program; (ii) qualifying through the specified screening processes (where applicable); (iii) receiving a Provisional Offer Letter; and (iv) payment of all requisite fees.
3.Use and Duration of Access to Services
Access to the training materials and online learning platform is granted for a limited period only, equal to the officially stated length or course validity period of the Program You have enrolled in. This access can be withdrawn at the Academy’s sole discretion upon completion, withdrawal, or non-compliance with the Terms and Conditions.
DISCLAIMER ON JOB ASSURANCE AND CLIENT LIABILITY
IMPORTANT NOTICE: The Academy (MABFSI/Unext Learning Pvt Ltd) is solely a program training and delivery partner.
- Job Assurance: The Academy DOES NOT ASSURE A JOB to the Learner. The assurance of a job or final placement is solely and exclusively offered by the Partner Organization/Client via the Provisional Offer Letter (POL) and is always conditional on the Learner’s performance during the Program.
- Client Changes: The Partner Organization/Client reserves the absolute right to change the eligibility criteria, requirements, roles, job location or any terms related to the final job offer at any time.
- Waiver of Liability: The Academy is NOT LIABLE for any changes made by the Partner Organization/Client in their eligibility criteria, their requirements, the withdrawal of a Provisional Offer Letter, or any action, omission, or decision made by the Client. Any grievance or claim related to the final employment outcome must be directed solely toward the Partner Organization/Client.
- No Guarantee: Your enrolment in any Program does not guarantee or assure employment with either the Academy or its Partner Organization Customers.
TRAINING FEE AND INCLUSIONS
The Program requires the payment of a Training Fee. This fee is program-specific and covers the following items as applicable and explicitly mentioned in Your enrolment documents:
- Tuition and Training Fee (all Programs)
- Boarding and Lodging (where applicable)
- Food during the stay (where applicable)
- Any other ancillary things explicitly mentioned
You agree to pay the applicable Program fee and any associated taxes (including Goods and Services Tax, as per prevalent Indian law). Access to the Program content and Web Instructor Led Training is provided only after the entire course/program fee is received in full or in part in accordance with the Payment Schedule.
In case of payment in instalments, any failure to pay instalments on specified due dates may result in the suspension of Your participation in the Program, and You will not be permitted to access the Course or be issued a completion certificate until the full amount is paid. The Academy reserves the right to modify the Training Fee at its discretion. However, any changes in the Training Fee shall be intimidated in writing.
REGISTRATION AND PROGRAM PAYMENT
You must register yourself to enrol into any Program offered by the Academy. The registration may involve providing personal information or sensitive personal data. You should refer to the Privacy Policy for details on how We handle and protect personal information and sensitive personal data, if you choose to provide those to Us or third-party service providers. You will be re-routed to a secure website to complete any payment transaction. The privacy statement posted at the payment, landing page operated by such third-party vendor will govern the submission and processing of your payment details. Once your payment transaction is completed, You will be re-routed back to an Academy page or Program landing page and will receive a confirmation e-mail with Your name, course / program order and the payment amount. We insist that You retain the confirmation e-mail for Your records.
COURSE COMPLETION AND ISSUE OF CERTIFICATES
We and our Client providing courses on the Site, may offer a certificate of participation or other acknowledgement to You, if You have successfully completed the training and have undertaken the entire course duration, with demonstration of greater understanding and mastery of course material of the program to which You have enrolled. Certificates will be issued by the Academy along with the Client partner. The decision whether a participating certificate will be awarded to You will be solely within the discretion of Academy and the respective Client partner. Academy and the Client partner may choose not to offer a certificate for some courses. All accounts registered with a valid personal e-mail address that You access regularly so that moderation e-mails can be sent to You.
WITHDRAWALS AND REFUNDS
Upon receipt of Your request to withdraw from a Program, Your access credentials and access to all online training materials will be immediately revoked. All fees paid towards any Program, including the Training Fee and the Application Fee, are strictly non-refundable. The Academy operates a Zero-Refund Policy for all enrolments, regardless of the reason for withdrawal.
LOAN FINANCING AND THIRD-PARTY LIABILITY
If You choose to finance Your Program fee through a third-party loan provider:
- The Academy’s role is strictly limited to introducing You to potential loan partners who offer financing options.
- The decision to select a loan partner, apply for, accept, or reject a loan, and adherence to the loan terms and conditions are the sole responsibility of the Learner.
- The Academy is not responsible or liable for any decision, rejection, error, dispute, or issue caused by the loan partner, including but not limited to loan approval, interest rates, repayment schedules, or any failure on the part of the loan partner. All matters related to financing must be resolved directly with the loan partner.
INTELLECTUAL PROPERTY, CONDUCT, AND LIABILITY
Ownership and Restrictions (LMS Content and IP)
Any and all intellectual property rights (“Intellectual Property”) associated with the Website and its contents (the “Content”) are the sole property of the Academy, its affiliates or third party service providers, governed and protected by the laws of India. All customised graphics, icons, and other items that appear on the Web Site are trademarks, service marks or trade name (“Marks”) of the Academy, its affiliates or other entities that have granted the Academy the right and licence to use such Marks and may not be used or interfered with in any manner without the express written consent of the Academy. Except as otherwise expressly authorised, You may not copy, reproduce, modify, amend, lease, loan, sell and/or create derivative works from, upload, transmit, and/or distribute the Intellectual Property of the Website in any way without the Academy’s prior written permission or that of an appropriate third party. Except as expressly provided herein, the Academy does not grant to You any express or implied rights to the Intellectual Property of the Academy, its affiliates or that of any of its third-party service providers.
The Academy and its licensors retain all ownership and intellectual property rights to the Programs and Website materials (“Site Materials”). You are granted a limited, non-exclusive, non-transferable license to access and use the materials solely for your personal, non-commercial, educational purpose. You shall not disclose, reproduce, sell, or distribute to any third party any Site Materials. Reproduction or distribution or sharing of training online content is strictly prohibited.
By enrolling in any Program, You grant the Academy (Unext Learning Pvt Ltd and Manipal Academy of BFSI) a perpetual, worldwide, royalty-free, and irrevocable right and license to use Your name, photograph, video recordings, testimonials, and likeness obtained during the Program’s duration strictly for promotional, marketing, advertising, and publicity purposes only, across all media formats (including digital and print), without any further consent or compensation.
You may not use any of the trademarks, or any variations thereof, without the owner’s prior written consent. You may not use any of these trademarks, or any variations thereof, for promotional purposes, or in any way that deliberately or inadvertently claims, suggests or, in our institution’s sole judgment, given the appearance or impression of a relationship with or endorsement for any purposes whatsoever.
CONTENT LICENSE AND PERMISSION
Where we provide content and materials in connection with the services, including without limitation the tools, access to third party products and site, referred as “Academy Content” or “Licensor Content” (as applicable). Any Content uploaded, or posted under the services by you or end user is “Providers’ Content”. All the respective content remains the proprietary property of the person or licensor or entity supplying it (or their affiliates or third party providers) and is protected, without limitation, pursuant to relevant copyright and intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Provider’s Content and Services, for which you or the respective organisation have paid for the End Users, all requisite fees, solely for your or respective End Users’ personal, non-commercial, educational purpose through the Services, in accordance with the Terms associated with respective courses or Services. All other uses are expressly prohibited, without our prior written consent.
We respect all copyright, intellectual property rights, privacy and defamation and other laws relating to content and information and will not entertain any violation of such laws. Notwithstanding the foregoing, we do not screen the provider’s content and all use of the same by you at your own risk and we shall not have any liability for such use. no review or posting or appearance of the provider’s content on through the services on this site is intended to act as an endorsement or representation that any such content is free of violation of any copyright, intellectual property rights, privacy or any other laws or will suit a particular purpose or accurate or useful. all rights not expressly granted herein under these terms are retained by respective content licensors and these terms does not grant any additional licenses (express or implied) for such third-party content.
We and our third-party content material suppliers or licensors (as applicable), retain all right title and interest in and to the Site and the Services, including any copyright, patents, trade secrets, trademarks and other intellectual property rights. We retain all rights not expressly granted under these Terms and Conditions and no other rights are granted.
PROHIBITED CONDUCT AND INDEMNIFICATION
You agree not to use the services of the Academy to cause harm to others or disrupt the services in any manner whatsoever. This includes, but is not limited to: transferring access credentials, sharing or modifying content, posting inappropriate/abusive content, gaining unauthorized access, or using any automated tools (bots, data-mining) to interact with the Website. You agree to indemnify, defend and hold MGABFSI, its affiliates, shareholders, supplier, partner, licensor and their respective officers, directors, employee, consultants, representatives harmless from and against any and all claims, liability, damages, losses, costs and expenses (including attorneys’ fees) arising from (a) the User content you post or submit, (b) your use of the Services (c) your violation of these Terms, or (d) your violation of any rights of a third-party or (e) third party claims who rely on Your representations to them based on the information made available through our Services / training program. Your indemnification obligation will survive the termination of these Terms and Conditions, your use of the services. Academy reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by You, and in such case, You agree to cooperate with Academy’s defence of such claim. In such a case, Academy or one of the Academy’s representatives will provide you a written notice of such claim, action or legal suit.
RESTRICTIONS ON THE USE OF WEBSITE
You may not use this Website for:
- Transfer to a third party, either temporarily or permanently, any rights to access or use the services;
- Share access to, download, modify, distribute, transmit, display, perform, publish, reproduce, sublicense, create derivative works from or sell any component of the services or any content or e-learning materials;
- You will not post or provide inappropriate, abusive, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory or libellous content or information;
- You will not upload, post or otherwise transmit any unsolicited or unauthorised advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes or any other form of solicitation (commercial or otherwise) through the services;
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity, including gain unauthorised access through another person’s Access Credentials;
- Damage, disable, overburden or impose an unreasonable or disproportionately large load on the Website or interfere with proper working of the Website or any of infrastructure of the Website or the Services (or any network connected with such services), violate the security of the Website or attempt to gain unauthorised access to the Website, Website materials, computer systems or networks connected to the service of the Website through hacking, password mining or any other means;
- Interfere or disrupt the Website or servers or computer network connected to the Website, not follow any requirements, procedures, policies or regulations of network connected to the Website;

- The conditions mentioned above are inclusive and not exhaustive. You may be still liable for any acts/omissions which are detrimental to the Academy and its affiliates.
STUDENT CODE OF CONDUCT AND TERMINATION
You are expected to adhere to a strict Code of Conduct which prohibits, but is not limited to, academic dishonesty, cheating, plagiarism, damage to Academy or residential property, or any form of harassment. Violation of the Code of Conduct may result in the immediate termination of Your enrolment without refund, at the Academy’s sole discretion. If Your Program includes a residential component (Boarding and Lodging), Your stay is governed by separate, detailed Hostel Rules and Regulations provided by the Academy. You agree to comply strictly with all such rules, including those pertaining to safety, maintenance, and facility use. Failure to comply may result in disciplinary action, including removal from the residential facility.
MISCELLANEOUS AND GENERAL PROVISIONS
1.Warranty
The programs, services, content and materials are provided “As Is” and without any warranties of any kind, either express or implied. The Academy makes no warranties, express or implied, including implied warranties of title, non-infringement, accuracy, merchantability, and fitness for a particular purpose. Any warranties that may arise from courses of dealing relating to performance or usage of trade, the Academy and its affiliates including suppliers and vendors do not warrant that the services / courses will be uninterrupted, error-free or secure, that defects will be corrected, or that the services, the servers on which the services are hosted or any services available on any third-party platform, are free of virus or other harmful components. Further, no opinion, advice or statement of the Academy or its affiliates, licensors, suppliers or vendors, visitors whether through use of services or on third party platforms, or otherwise, will create any warranty. Your use of the services, including without limitation any services provided on any third-party platform, are entirely at your own risk.
2.Disclaimer
You understand that when using the Site, you will be exposed to user posting from a variety of sources and neither the Academy nor any of the other representatives to the courses are responsible for the accuracy, usefulness, reliability or intellectual property rights of or relating to such user postings. Neither the Academy nor any of the participants endorse such user postings or any opinion, recommendation expressed therein. Further, Neither the Academy nor any of the participants have any obligation to monitor any of your user postings or any other user communication through the Site. However, the Academy reserves its right to review user postings and to exercise its sole discretion to edit or remove, in whole or in part, any user posting at any time and for any reason, or to allow its representatives to do so. Without limiting the foregoing, upon receiving notice from a user, or a content owner that a user posting allegedly does not conform to the Terms and Conditions, Academy may remove those user posting, which it reserves the right to do at any time without notice.
3.Limitation of Liability
The Academy, its affiliates, directors, or representatives shall not be responsible or liable to You or any other person for any incidental, direct, indirect, exemplary, punitive, special or consequential damages of any character (including loss of business, claims for defamation, errors, loss of profits, or loss of data) arising out of or in connection with the Services provided by the Academy. The sole and exclusive total aggregate liability to the Academy for all damages shall be limited to the total Program fees paid by You to the Academy for the respective training Program and its duration. Multiple claims will not increase the monetary damages limit stated herein.
4.Waiver
The failure of the Academy to act with respect to Your breach (or anyone else’s breach) on any occasion shall not constitute a waiver of its right to act or waive any provision of these Terms and Conditions, with respect to future or similar breaches. Any waiver of a provision must be in a written instrument executed by the waiving party.
5.Force Majeure
The Academy shall not be deemed in breach of these Terms and Conditions for any failure or delay in performance caused by reasons beyond its reasonable control, including but not limited to acts of God, war, fire, riot, terrorism, earthquake, actions of state, central, or local government authorities, or any other force majeure event.
6.Equitable Relief
You agree and acknowledge that the Academy will be irreparably harmed by any breach of these Terms and Conditions or Your unauthorized use of the Website, content, or Services. You agree that the Academy shall be entitled, without further demonstration of irreparable harm or the inadequacy of monetary damages, to obtain injunctive or other equitable relief in the event of Your breach of these Terms and Conditions
7.Governing Law
This Terms and Conditions and any claim or dispute arising out of, relating to or in connection with program enrolments or the transactions contemplated hereby, whether in contract, tort or otherwise, shall be governed by and construed in accordance with the laws of India. The courts at Bengaluru shall have exclusive jurisdiction.
8.Third Party Sites
The services or Site may contain links to third party sites. These linked sites are not under our control, and we are not responsible for the content of any linked site or any other link contained in a linked site, or any changes or updates to such sites. These links are provided only as a convenience, and the inclusion of a link does not imply endorsements by us of the linked site. You are solely responsible for your interactions with the third parties. You use of third-party sites or services may be subject to third party’s terms and conditions of use and privacy policies of their respective owners as contained therein.
9.Miscellaneous
The Terms and Conditions, any policies applicable to your use of services constitute the entire understanding between You and Us with respect to the use of the Website and supersede all previous written or oral agreements. If any of these Terms is found to be illegal, void or unenforceable, then such specific provision shall be deemed to be severable from these Terms and shall not affect the validity and enforceability of any remaining provisions of these Terms.
